B. Riley Financial Receives Notice from Nasdaq Over Filing Delay

B. Riley Financial, Inc. has been issued a delinquency notification by Nasdaq for not filing its annual report on time. On April 3, 2025, Nasdaq informed the company that it was not in compliance with Listing Rule 5250(c)(1) due to its failure to submit the Annual Report on Form 10-K for the fiscal year ending December 31, 2024, according to Nasdaq.com.


Despite the notification, B. Riley Financial's securities will continue to be listed on Nasdaq for the time being. The company needs to present a compliance plan by June 2, 2025, to outline its strategy for meeting Nasdaq's requirements. If the plan is accepted, Nasdaq may allow an extension, giving B. Riley until September 29, 2025, to finalize the filing. Notably, this isn't the first instance of delays; Reuters reported that B. Riley faced similar issues in the previous two years, impacting investor confidence as reflected in a recent dip in share prices.


The company has publicly stated its commitment to resolving the issue promptly. B. Riley Financial intends to file the necessary Form 10-K well ahead of the planned compliance plan submission deadline, signaling its proactive approach to meeting the stock exchange's expectations and maintaining its listing standing.
